Bank Austria supports OMV with capital increase and hybrid bond

  • Capital increase successfully completed with net issue proceeds of EUR 725 million, hybrid bond of EUR 750 million placed on market

As part of a capital increase OMV has placed 27.27 million new shares and thus successfully carried out its capital increase. The subscription and offer price for the new shares was set at EUR 27.50 after closing the bookbuilding procedure. The first trading day for the new shares was 8 June. According to OMV, the proceeds from the issue amounting to EUR 725 million are to be used to refinance the acquisition of investments in Petrol Ofisi as well as E&P subsidiaries of Pioneer Natural Resources in Tunisia. Both of the main shareholders of ÖIAG and IPIC were involved in the capital increase, as expected, and retained their interests at 31.5 percent (ÖIAG) and 20 percent (IPIC). Existing shareholders used their pre-emptive rights up to 65 percent, but in light of the massive investor interest the remaining shares were heavily oversubscribed.

Helmut Bernkopf, Bank Austria director of Corporate & Investment Banking: "With this the largest capital increase of the year, OMV has sought to improve its equity base and increase the liquidity of its shares. As a long-standing partner of OMV I am delighted that we were there to offer our capital market know-how both during the capital increase as joint global coordinator and joint bookrunner and also during the issue of the hybrid bond as joint-lead manager, making a contribution to its successful placement on the market. The overall result has confirmed the appetite of investors for shares in a flagship of Austrian industry."

With consolidated revenues of EUR 23.32 billion in 2010 and 31,398 employees, OMV is one of the largest listed industrial companies in Austria. As the leading energy corporation in the European growth belt the OMV Group is active in the fields of Exploration and Production, Refining and Marketing as well as Gas and Power.
